AppRiver being acquired by Zix

Publicly traded Zix is "a security technology company that provides email encryption services, email data loss prevention (DLP) and mobile applications designed to address bring your own device (BYOD) corporate technology trend" (from Wikipedia)

I'm not that big on financials, but the number I saw ($247m) is almost all of the Zix market cap of ~$330m.

I'm not all in with AppRiver, but I do have a dozen clients on it. I hate acquisitions.

Step 1 - Buy company
Step 2 - email all of company's clients telling them "Nothing will Change!"
Step 3 - Change everything
Step 4 - Raise prices to cover expense of changing everything and replacing all of the alienated employees of company with inexperienced-but-cheaper employees + expense of losing 50% of former clients upset with horrible service & increasing fees
Step 5 - Profit?
Step 6 - Sell company to some other unsuspecting enterprise, who will start over at Step 1
 
I was listening to a podcast that discussed this last night (I think Enterprise Security Weekly from https://securityweekly.com/) and they were also discussing that it was a $275m deal by a $330m market cap company.

I have to admit this makes me think a little more about Sherweb as an alternative, at least for the short term.
 
Looks like they received some notes for the cash to acquire AppRiver. Everything on paper looks good to me for this acquisition from a financial perspective.

I may invest.
